REPUBLIC GOODS TERMS AND CONDITIONS

Effective Upon Payment of Deposit

Republic Goods LLC, a Nevada limited liability company doing business as Republic Goods and operating in Clark County, Nevada ("Republic Goods"), is a retail resale marketplace and booth rental business. These Terms and Conditions ("Agreement") govern participation in the Republic Goods booth rental and consignment program and establish the rights and obligations of Republic Goods and participating Sellers.

By booking a booth, paying a deposit, placing merchandise in a booth, or otherwise participating in the Republic Goods program, Seller acknowledges that Seller has read, understood, and agrees to be legally bound by this Agreement.

1. DEFINITIONS

For purposes of this Agreement:

"Republic Goods" means Republic Goods LLC, a Nevada limited liability company, together with its members, managers, officers, employees, agents, representatives, successors, and assigns. 

"Seller" means any individual or entity participating in the Republic Goods booth rental and consignment program.

"Booth" means any retail display area, rack, shelving unit, display fixture, or other space assigned by Republic Goods for Seller merchandise.

"Merchandise" means all goods, inventory, clothing, footwear, accessories, and other items placed by Seller in a Booth.

"Rental Period" means the period during which Seller is authorized to occupy a Booth and offer Merchandise for sale.

"Net Sales Revenue" means gross sales revenue less approved discounts, returns, chargebacks, processing fees, and authorized deductions under this Agreement.

"Abandoned Merchandise" means Merchandise not retrieved within the time period specified in this Agreement.

2. PARTICIPATION AND RELATIONSHIP OF THE PARTIES

Seller participates solely as a customer renting retail display space and consigning Merchandise for sale through Republic Goods.

Nothing in this Agreement creates an employment relationship, partnership, joint venture, agency relationship, franchise relationship, fiduciary relationship, or independent contractor relationship between Republic Goods and any Seller.

Seller is solely responsible for reporting and paying all federal, state, and local taxes arising from participation in the Republic Goods program and any payouts received.

3. NO FIDUCIARY RELATIONSHIP

Seller acknowledges that Republic Goods does not act as a fiduciary, trustee, financial advisor, investment advisor, legal representative, or agent of Seller.

Any duties owed by Republic Goods are limited solely to those expressly stated in this Agreement.

4. AUTHORITY TO ENTER AGREEMENT

If Seller is acting on behalf of a business entity, Seller represents and warrants that Seller has full authority to bind that entity to this Agreement.

5. LIMITED LIABILITY OF REPUBLIC GOODS LLC

Seller acknowledges and agrees that no member, manager, officer, employee, agent, representative, or affiliate of Republic Goods LLC shall have personal liability arising out of or relating to this Agreement, Seller's participation in the Republic Goods program, or any claim against Republic Goods.

Any liability arising under this Agreement shall be limited solely to Republic Goods LLC to the fullest extent permitted by law.

6. ELECTRONIC ACCEPTANCE

Seller agrees that electronic acceptance, online booking, payment of a deposit, electronic communications, and electronic records shall have the same legal effect as an original handwritten signature and satisfy any legal requirement for a written agreement.

Booking a Booth, paying a deposit, or participating in the Republic Goods program constitutes electronic acceptance of this Agreement.

7. FIRST-TIME BOOKING GUARANTEE

Republic Goods offers a risk-free first-time booking guarantee.

If Seller's total sales revenue during Seller's first Rental Period does not equal or exceed the booth rental fee ($35), Republic Goods will reimburse Seller for the full booth rental fee paid for that Rental Period.

This guarantee applies only to a Seller's first booking with Republic Goods.

8. BOOTH RENEWAL POLICY

Republic Goods reserves the right, in its sole discretion, to deny a third-week renewal if Seller's Booth fails to generate sales equal to or greater than the booth rental amount for two consecutive Rental Periods.

Republic Goods reserves the right to approve or deny any renewal request for legitimate business reasons.

9. COMMISSION STRUCTURE AND PAYOUTS

Commission Split

For all completed sales:

  • Seller shall receive 66.67% of Net Sales Revenue.

  • Republic Goods shall retain 33.33% of Net Sales Revenue.

Credit card processing fees and any other transaction-related fees shall be allocated proportionally according to the commission percentages stated above.

Supplies Reimbursement Fee

A supplies reimbursement fee of three dollars ($3.00) shall be deducted from Seller payouts.

This fee covers tags, strings, tagging guns, stickers, postcards, and other materials supplied by Republic Goods.

Payout Schedule

Seller payouts shall be issued within three (3) to five (5) business days following the end of the applicable Rental Period. Holidays may delay payment. 

Payout Method

All payouts are processed exclusively through Venmo.

Seller is solely responsible for providing accurate payment information. Any payout sent to the Venmo account provided by Seller shall be deemed properly made.

Republic Goods shall not be liable for delays, losses, failed transfers, or other issues resulting from inaccurate payment information. Any costs associated with recovering or redirecting funds shall be the sole responsibility of the Seller.

Payout Calculation

Seller payouts shall be calculated as follows:

Total Sales Revenue – (Republic Goods Commission + Processing Fees + Authorized Deductions)

Authorized deductions may include supplies reimbursement fees, late pickup fees, return adjustments, packing fees, or other amounts authorized under this Agreement.

10. OWNERSHIP AND AUTHENTICITY OF MERCHANDISE

Ownership

Seller represents and warrants that Seller legally owns all Merchandise placed in a Booth or that Seller possesses full authority to sell such Merchandise.

Title to Merchandise remains with Seller until sold to a purchaser.

Republic Goods acts solely as a facilitator of sales and assumes no ownership interest in Seller Merchandise before sale.

Authenticity

Seller represents and warrants that all branded, designer, luxury, collectible, trademarked, or copyrighted Merchandise is authentic, lawfully acquired, and eligible for resale.

The sale, display, or offering of counterfeit, stolen, infringing, or otherwise unlawful Merchandise is strictly prohibited.

Republic Goods does not authenticate Seller Merchandise and makes no representations regarding authenticity.

Seller shall be solely liable for any claims arising from counterfeit, infringing, stolen, or misrepresented Merchandise.

11. PERMITTED AND PROHIBITED MERCHANDISE

Permitted Merchandise

Republic Goods encourages the sale of:

  • Clothing

  • Shoes

  • Hats

  • Fashion accessories

Seller agrees that all Merchandise must be clean, retail-ready, and free from excessive odors, including but not limited to smoke, mildew, body odor, pet odor, or chemical residue.

Prohibited Merchandise

The following items are prohibited and may be removed without notice:

  • Food products

  • Beauty or cosmetic products

  • Electronics

  • Fine jewelry

  • Damaged merchandise

  • Stained merchandise

  • Unsafe merchandise

  • Offensive merchandise

  • Illegal merchandise

  • Any item prohibited by applicable law

Republic Goods reserves the right to remove any item from a Booth at any time and for any reason.

No air fresheners or scented products are allowed. 

12. BOOTH SETUP AND OPERATION

Booth Setup

Seller must complete Booth setup by Saturday at 10:00 a.m.

Failure to occupy and set up the assigned Booth by that time shall result in forfeiture of the Booth reservation without refund.

Booth Conduct

Seller shall:

  • Keep Merchandise within the boundaries of the assigned Booth.

  • Refrain from modifying or damaging Booth structures.

  • Maintain Booths in a clean and orderly condition.

13. BOOTH PICKUP AND ABANDONED PROPERTY

Pickup Times

Merchandise may be picked up only on Saturdays between 8:00 a.m. and 8:30 a.m.

Failure to retrieve Merchandise during the designated pickup period shall result in a twenty-five dollar ($25.00) late pickup fee deducted from Seller's payout.

Packing Service

Republic Goods may pack Seller's Merchandise upon request for a ten dollar ($10.00) fee.

Abandoned Property

Packed Merchandise must be retrieved no later than the Friday following the end of the Rental Period.

Merchandise not retrieved within seven (7) calendar days following Seller's designated pickup period shall be deemed intentionally abandoned.

Seller irrevocably waives all ownership rights and claims to Abandoned Merchandise.

Republic Goods may donate, retain, liquidate, dispose of, or resell Abandoned Merchandise without further notice, compensation, or liability.

14. CANCELLATIONS AND RESCHEDULING

Cancellation requests must be submitted before the scheduled Rental Period.

  • Seven (7) or more days' notice: Full deposit refund.

  • Less than seven (7) days' notice: Deposit forfeited.

Republic Goods is under no obligation to reschedule missed bookings.

15. DISCOUNTS AND PROMOTIONAL SALES

No Seller Merchandise will be discounted or marked down without Seller approval, except where Seller has explicitly opted into a pre-approved discount program or provided prior written authorization. 

Seller acknowledges that promotional discounts reduce total sales revenue before commission calculations.

All discounts affect both Seller payouts and Republic Goods commissions in proportion.

By participating in the Republic Goods program, Seller consents to these promotional pricing practices.

16. RETURNS POLICY

All sales are final.

In rare circumstances, Republic Goods may approve a return if an item is materially defective, misrepresented, prohibited, or otherwise unsuitable for sale.

If a return is approved, the affected amount shall be deducted from Seller's payout.

17. COMMUNICATIONS CONSENT

Seller expressly consents to receive operational and transactional communications from Republic Goods by email, telephone call, and text message.

Such communications may include:

  • Sales reports

  • Booth updates

  • Pricing inquiries

  • Inventory questions

  • Pickup coordination

  • Promotions

  • Operational notices

These communications are considered service-related rather than telemarketing communications.

Seller acknowledges that communications may be sent using automated technology where permitted by law.

18. LOST, STOLEN, OR DAMAGED MERCHANDISE

Republic Goods takes reasonable measures to maintain inventory security and organization.

However, all Merchandise is stored, displayed, handled, and offered for sale entirely at Seller's risk.

Republic Goods shall not be liable for any loss, theft, disappearance, damage, destruction, deterioration, or depreciation of Merchandise.

19. DISCLAIMER OF INSURANCE

Republic Goods does not provide insurance coverage for Seller Merchandise.

This includes, without limitation:

  • Theft

  • Shoplifting

  • Inventory shortages

  • Fire

  • Flood

  • Water damage

  • Natural disasters

  • Customer handling

  • Fitting-room damage

  • Accidental damage

Seller is encouraged to obtain independent insurance coverage.

Seller acknowledges that customers may try on or handle Merchandise during normal retail operations.

20. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, REPUBLIC GOODS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THIS AGREEMENT OR SELLER'S PARTICIPATION IN THE PROGRAM.

TO THE FULLEST EXTENT PERMITTED BY LAW, REPUBLIC GOODS' TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE TOTAL BOOTH RENTAL FEES PAID BY SELLER FOR THE RENTAL PERIOD GIVING RISE TO THE CLAIM.

THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY ASSERTED AND EVEN IF REPUBLIC GOODS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

21. INDEMNIFICATION AND HOLD HARMLESS

Seller agrees to indemnify, defend, and hold harmless Republic Goods and its owners, officers, directors, employees, agents, representatives, successors, and assigns from and against any claims, liabilities, damages, losses, judgments, costs, expenses, and attorneys' fees arising from:

  • Seller's participation in the program;

  • Seller's Merchandise;

  • Seller's use of Booth space;

  • Authenticity disputes;

  • Ownership disputes;

  • Intellectual property claims;

  • Violation of this Agreement; or

  • Violation of any law or regulation.

22. ADVERTISING, MARKETING, AND PUBLICITY RIGHTS

Seller grants Republic Goods a perpetual, irrevocable, worldwide, royalty-free license to photograph, record, reproduce, publish, distribute, display, modify, and otherwise use Seller's:

  • Name

  • Image

  • Likeness

  • Voice

  • Booth displays

  • Merchandise

  • Logos

  • Trademarks

  • Social media handles

for advertising, marketing, publicity, promotional, and business purposes.

Seller waives any right to compensation, approval, royalties, or ownership claims arising from such use.

Seller further releases Republic Goods from claims relating to privacy rights, publicity rights, defamation, copyright infringement, trademark infringement, or similar claims arising from lawful promotional use.

Sellers are encouraged to promote their participation and tag @republic_goods.

23. FORCE MAJEURE

Neither party shall be liable for delays or failures in performance resulting from causes beyond reasonable control, including acts of God, severe weather, natural disasters, utility failures, government actions, emergencies, labor disputes, or other unforeseen events.

24. MANAGEMENT DISCRETION

Republic Goods retains sole and absolute discretion regarding the operation of its business and the enforcement of these Terms.

Republic Goods may remove Merchandise, restrict access, deny renewals, suspend participation, or terminate Seller participation for violations of these Terms or other legitimate business reasons.

25. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of Nevada.

26. DISPUTE RESOLUTION

Any dispute, claim, or controversy arising out of or relating to this Agreement or Seller's participation in the Republic Goods program shall be resolved exclusively through final and binding arbitration.

Arbitration shall be administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules.

Arbitration shall occur exclusively in Clark County, Nevada.

The arbitrator shall have exclusive authority to determine issues regarding the interpretation, applicability, enforceability, or formation of this Agreement.

THE PARTIES KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO A JURY TRIAL.

Class Action Waiver

SELLER AGREES THAT ALL CLAIMS SHALL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A MEMBER OF ANY CLASS, COLLECTIVE, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL ACTION.

Attorneys' Fees

The prevailing party in any arbitration or legal proceeding arising from this Agreement shall be entitled to recover reasonable attorneys' fees, arbitration costs, and related expenses.

Backup Venue Provision

If a claim is determined to be non-arbitrable, the parties consent to the exclusive jurisdiction of the state and federal courts located in Clark County, Nevada.

27. GENERAL PROVISIONS

Severability

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Waiver

Failure by Republic Goods to enforce any provision of this Agreement shall not constitute a waiver of its right to later enforce that provision.

Amendments

Republic Goods may modify these Terms and Conditions at any time. Notice may be provided through email, website publication, booking platform updates, or other reasonable means. Continued participation constitutes acceptance of any revisions.

Entire Agreement

This Agreement constitutes the entire agreement between Republic Goods and Seller and supersedes all prior communications and understandings.

Notices

Notices may be delivered by email or certified mail.

Electronic Acceptance

Booking a Booth, paying a deposit, or participating in the Republic Goods program constitutes electronic acceptance of this Agreement. No handwritten signature is required.

Termination

Failure to comply with this Agreement may result in immediate suspension or termination of participation privileges without refund, where permitted by law.
